Kioxia said on Tuesday that as of Aug. 3 former parent Toshiba cut its stake from 14.48% to about 14.12%, making BCPE Pangea Cayman2, set up by Bain Capital, the largest shareholder with a 14.19% holding. Kioxia’s annual report shows SK Hynix holds bonds convertible into “almost all” of BCPE Pangea Cayman2’s voting rights; the company flagged SK Hynix’s claim as a risk that could create conflicts of interest. SK Hynix participated in the 2018 Bain-led buyout and agreed under the deal not to exceed 15% of Kioxia’s voting rights without Kioxia’s consent before 2028.
